Notrispace Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Notrispace platform ("Platform") operated by Domus Lab Ltd, Flat 2, 8 Henry Road, London, SW9 7BQ, United Kingdom ("Notrispace", "we", "us", or "our").

By accessing or using the Platform, you agree to these Terms. If you do not agree, you must not use the Platform.

1. Definitions

  • Platform means the Notrispace software, applications, and services.
  • User means any individual or entity using the Platform.
  • Professional User means a healthcare, nutrition, or wellness professional using the Platform in a professional capacity.
  • Client means an individual whose data is processed through the Platform.
  • Customer Data means all information submitted to the Platform by Users.
  • PHI means Protected Health Information as defined under applicable law including HIPAA where relevant.

2. Description of Services

Notrispace provides software tools for managing health-related information, workflows, communication, analytics, nutrition planning, and administrative operations.

Features may include:

  • Data tracking and management
  • Meal plan generation based on user inputs
  • Insights, summaries, and analytics
  • Risk scoring and pattern detection
  • Automation and communications
  • Appointment scheduling and workflow management
  • Integration with third-party services

The Platform may also provide tools that enable professionals to manage administrative and financial operations, including appointment scheduling, invoicing, payment processing, and billing of clients on behalf of professionals. Notrispace acts solely as a technology provider facilitating these functions. Professionals remain solely responsible for the services they provide, the accuracy of invoices, compliance with applicable tax and financial regulations, and any obligations owed to their clients.

Outputs depend on information provided by Users.

3. Healthcare and Medical Disclaimer

Notrispace does not provide medical advice, diagnosis, or treatment.

The Platform is a technology tool intended to support professionals and individuals in organizing and analyzing information.

All clinical decisions, nutritional advice, diagnosis, and treatment decisions remain solely the responsibility of qualified professionals or users.

Users must not rely on the Platform as a substitute for professional judgment.

4. Professional Responsibility

Professional Users are solely responsible for:

  • Compliance with licensing requirements
  • Patient care and clinical decisions
  • Obtaining informed consent
  • Compliance with healthcare regulations
  • Reviewing Platform outputs before use with clients
  • Accuracy of billing and financial records provided to clients

Notrispace does not supervise or control professional services.

5. AI and Automated Processing

The Platform may use artificial intelligence, machine learning, or automated systems ("AI Technology") to generate insights, summaries, meal plans, or other outputs ("Output").

You acknowledge:

  • AI Technology is evolving and may produce inaccurate or incomplete information
  • Output may contain errors or biases
  • Output depends on input quality
  • AI Technology lacks independent professional judgment

Output is provided for informational purposes only and must not be used as the sole basis for health, medical, or clinical decisions.

You agree to exercise independent judgment before relying on Output.

Notrispace does not train AI models on identifiable Customer Data without authorization. Data may be processed by trusted subprocessors under contractual safeguards.

Notrispace bears no liability arising from use of AI Technology or Output.

6. Nutritional Information Disclaimer

Any nutritional information, calculations, or meal plans provided through the Platform are estimates based on available data and user inputs.

Actual nutritional values may vary due to ingredients, preparation methods, and other factors.

Users are responsible for verifying nutritional information where accuracy is required.

7. Eligibility

You must be at least 18 years old to use the Platform.

8. Accounts and Security

You agree to:

  • Provide accurate information
  • Maintain account confidentiality
  • Notify us of unauthorized access
  • Accept responsibility for activity under your account

9. Subscription, Billing, and Payments

Some Platform features require paid subscriptions.

Subscriptions are billed on a recurring basis according to the selected billing cycle and automatically renew unless cancelled before the renewal date.

By providing payment information, you authorize us or our third-party payment processors to charge applicable fees.

If payment fails, access may be suspended until payment is resolved.

Fees may change with reasonable notice.

All fees exclude applicable taxes, which you are responsible for where required by law.

Refund requests may be considered within fourteen (14) days of purchase unless otherwise specified.

Notrispace may enable professionals to charge clients through integrated payment tools. Notrispace is not a party to agreements between professionals and their clients and is not responsible for disputes, refunds, chargebacks, or the quality of services provided by professionals.

10. Free Trials

We may offer free trials at our discretion.

Unless cancelled before the trial period ends, subscriptions may automatically convert to paid plans.

11. License and Acceptable Use

We grant a limited, non-exclusive license to use the Platform.

You may not:

  • Reverse engineer or copy the Platform
  • Use the Platform unlawfully
  • Attempt unauthorized access
  • Interfere with system integrity
  • Upload unlawful or unauthorized data
  • Violate privacy or healthcare regulations
  • Perform security testing without permission
  • Misrepresent health claims
  • Share accounts beyond permitted usage

Violation may result in suspension or termination.

12. Customer Data and Ownership

Users retain ownership of Customer Data. You grant Notrispace a worldwide, non-exclusive license to process Customer Data as necessary to provide, operate, maintain, and improve the Platform and related services, including for security, compliance, analytics, and functionality enhancements.

Notrispace may create aggregated, statistical, or de-identified information derived from Customer Data that does not identify any individual, client, or organization and cannot reasonably be used to do so. Such information may be used for purposes including product development, service improvement, benchmarking, analytics, research, and industry insights. Notrispace may retain, use, disclose, publish, or otherwise make available such aggregated or de-identified information in accordance with applicable law.

Notrispace retains all rights, title, and interest in aggregated and de-identified data sets created by or on behalf of Notrispace.

For clarity, Notrispace will not disclose identifiable personal data to third parties without appropriate authorization, legal basis, or contractual safeguards.

13. Privacy and Data Protection

Personal data processing is governed by our Privacy Policy and applicable laws including UK GDPR and GDPR.

Where applicable, a Data Processing Addendum applies between Notrispace and Professional Users.

14. HIPAA

Where Users are subject to HIPAA, Notrispace will support compliance obligations when a separate Business Associate Agreement (BAA) is executed.

Notrispace is designed to support HIPAA compliance when customers enter into such agreements.

15. Security

We implement administrative, technical, and organizational safeguards designed to protect data.

However, no system is completely secure, and Users acknowledge inherent risks of online services.

16. Third-Party Services and Integrations

The Platform may integrate with third-party services including wearable devices, laboratories, payment processors, messaging tools, and health systems.

We are not responsible for third-party services or their data practices.

17. Availability and Support

We aim to provide reliable access with a target availability of 99.5%.

Availability is not guaranteed and interruptions may occur due to maintenance or external factors.

18. Term and Termination

We may suspend or terminate access for violations of these Terms.

Users may stop using the Platform at any time.

19. Data Retention and Deletion

Customer Data is retained until deletion is requested or accounts are closed.

Upon verified request, data will be deleted within sixty (60) days unless retention is legally required.

20. Intellectual Property

The Platform and related materials are owned by Notrispace and protected by intellectual property laws.

21. Confidentiality

Each party agrees to protect confidential information disclosed through use of the Platform.

22. Disclaimer of Warranties

The Platform is provided "as is" and "as available."

We disclaim all warranties to the maximum extent permitted by law.

23. Limitation of Liability

To the maximum extent permitted by law:

Notrispace's total liability arising from or related to the Platform will not exceed:

  • the amount paid by the User in the twelve (12) months preceding the claim, or £100, whichever is greater.

We are not liable for:

  • Indirect or consequential damages
  • Loss of profits or business
  • Loss of data value
  • Clinical outcomes or patient harm
  • Decisions made by professionals or users
  • AI outputs or nutritional estimates
  • Billing disputes between professionals and clients

Nothing limits liability for death, personal injury caused by negligence, or fraud.

24. Indemnification

You agree to indemnify Notrispace against claims arising from:

  • Misuse of the Platform
  • Violation of laws or regulations
  • Professional services provided by Users
  • Customer Data or content
  • Billing or financial disputes with clients
  • Breach of these Terms

25. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control including infrastructure failures, internet outages, or third-party service disruptions.

26. Assignment

Users may not transfer rights under these Terms without our consent.

We may assign rights to affiliates or successors.

27. Governing Law

These Terms are governed by the laws of England and Wales.

Courts of England and Wales have exclusive jurisdiction.

28. Entire Agreement

These Terms constitute the entire agreement between parties regarding the Platform.

If any provision is invalid, remaining provisions remain in effect.

29. Changes to Terms

We may update these Terms periodically.

Continued use after changes constitutes acceptance.
